For the purposes of these Terms & Conditions, "R Weber Digital", "I", "me" and "my" refer to R Weber Digital.

1. About R Weber Digital

R Weber Digital provides freelance digital services to businesses and organisations, which may include website project management, website quality assurance, UX reviews, SEO recommendations, content and digital consultancy, and related services.

The services available through this website may change from time to time. I reserve the right to add, remove or modify services, pricing, packages or other offerings at any time.

Changes to the services or website will not affect work that has already been agreed with a client unless otherwise agreed between us.

2. Using this website

You may use this website for lawful purposes only.

You agree not to:

  • Use the website in a way that breaches any applicable law or regulation

  • Attempt to gain unauthorised access to the website, its systems or related services

  • Introduce malicious software, viruses or other harmful material

  • Copy, reproduce or distribute website content without permission

  • Use the website to misrepresent yourself or another person or organisation

  • Interfere with the operation, security or availability of the website

I reserve the right to restrict or suspend access to the website where I reasonably believe it is necessary to protect the website, my business or other users.

3. Website content

I make reasonable efforts to ensure that the information on this website is accurate and up to date.

However, the website is provided for general information and may contain errors, omissions or information that becomes outdated.

Nothing on this website should be considered professional, legal, financial or other specialist advice unless expressly stated otherwise.

I reserve the right to update, change or remove website content at any time without notice.

4. Services and enquiries

Information about my services and pricing on this website is provided for general information and does not constitute a binding offer or contract.

If you contact me about a potential project, I may discuss your requirements with you and provide a proposal, quotation or statement of work.

A contract for services will only come into effect once the scope of work, fees and relevant terms have been agreed between us and, where applicable, the required documentation has been accepted or signed.

The specific terms of an individual project may vary depending on the services required. Where a separate proposal, quotation, statement of work or client agreement is provided, that agreement will set out the specific terms that apply to the project.

5. Pricing and payment

Prices displayed on this website are indicative unless specifically stated otherwise.

The final cost of a project will depend on the scope, requirements and complexity of the work and will be confirmed in writing before work begins.

Unless otherwise agreed:

  • Invoices are payable by the payment deadline stated on the invoice

  • Any agreed deposit or upfront payment must be received before the relevant work begins

  • Additional work outside the agreed scope may be charged separately

  • Changes to the scope of a project may result in additional fees or changes to the delivery timeline

I reserve the right to pause work where an invoice remains unpaid beyond its agreed payment date.

Any applicable taxes or charges will be communicated to you where relevant.

6. Project scope and changes

Before starting a project, I will agree the expected scope of work with you.

If your requirements change during a project, I will discuss the impact of those changes with you.

Changes may affect:

  • The project fee

  • The project timeline

  • Deliverables

  • The availability of myself or other suppliers involved in the project

I will aim to agree any significant changes with you before carrying out additional work.

7. Client responsibilities

To allow me to provide my services effectively, you agree to provide accurate and timely information, feedback, approvals, access and materials where required.

This may include providing:

  • Website or platform access

  • Brand assets and content

  • Project information and requirements

  • Feedback and approvals

  • Access to relevant third-party platforms or services

I am not responsible for delays caused by information, materials, access, approvals or decisions that are not provided within the agreed timeframe.

You are responsible for ensuring that any materials you provide to me are accurate and that you have the necessary rights and permissions to use them.

8. Third-party services

I may use or recommend third-party platforms and services when delivering my services.

These may include website platforms, analytics tools, project management software, hosting providers, plugins, integrations and other digital services.

Third-party services are subject to their own terms, conditions and privacy policies.

Unless explicitly agreed otherwise, I am not responsible for changes, outages, failures, security incidents, pricing changes or other issues caused by third-party services.

Where a third-party service is required for your project, you may be responsible for purchasing and maintaining the relevant subscription, licence or account.

9. Intellectual property

Unless otherwise agreed in writing, the content, design, written materials, templates, processes and other materials that I create specifically for your project will be provided to you for use in connection with the agreed project once the relevant fees have been paid.

I retain ownership of my pre-existing materials, knowledge, methodologies, processes, templates, frameworks and reusable resources that I use when providing my services.

Where third-party materials, software, fonts, images, plugins, templates or other licensed content are used, those materials remain subject to the relevant third-party licence or terms.

Website content

All content on this website, including text, graphics, logos, layout, branding, images and other materials, is owned by or licensed to R Weber Digital unless otherwise stated.

You may not reproduce, republish, distribute, modify or commercially exploit website content without my prior written permission.

10. Portfolio and marketing

Unless otherwise agreed in writing, I may reference completed projects in my portfolio and marketing materials.

This may include displaying:

  • Your business name

  • A description of the work completed

  • Screenshots or links to publicly available work

  • Publicly available information about the project

I will not knowingly disclose confidential information about your business or project.

If you would prefer your project not to be used for portfolio or marketing purposes, please let me know.

11. Confidentiality

I will treat information that you provide to me as confidential where it is reasonably understood to be confidential or where we have agreed that it is confidential.

I will not knowingly disclose confidential information to third parties except where:

  • It is necessary to provide the agreed services

  • You have given permission

  • I am legally required to disclose it

  • The information is already publicly available through no fault of my own

You are also responsible for protecting any confidential information I provide to you.

12. Accuracy and responsibility for client materials

I will use reasonable care and skill when providing my services.

However, where I am working with information, content, data, software or materials provided by you or by third parties, I cannot guarantee the accuracy, completeness or suitability of those materials.

You remain responsible for approving final content, recommendations, designs, configurations and other deliverables before they are published or implemented.

Unless specifically agreed as part of the project, my services do not constitute legal, financial, accessibility, cybersecurity or other regulated professional advice.

13. Website availability

I aim to keep this website available and functioning correctly, but I do not guarantee that the website will always be available, uninterrupted or free from errors.

The website may occasionally be unavailable due to maintenance, updates, technical issues or circumstances outside my reasonable control.

14. Limitation of liability

I will provide my services with reasonable care and skill.

To the extent permitted by law, I will not be responsible for:

  • Losses caused by circumstances outside my reasonable control

  • Losses caused by inaccurate, incomplete or delayed information provided by you

  • Problems caused by third-party platforms, software or services

  • Loss of business, revenue, profit, anticipated savings or opportunity

  • Indirect or consequential losses

Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms & Conditions limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

Where you are engaging me as a business client, any additional limitation of liability that applies to your specific project will be set out in the relevant proposal, statement of work or client agreement.

15. Cancellation and ending a project

Either party may request to end a project in accordance with the terms agreed for that project.

If you cancel a project after work has begun, you may be responsible for payment for work already completed and any non-refundable costs or commitments that I have reasonably incurred on your behalf.

If I need to end a project, I will provide reasonable notice where possible and will communicate any outstanding work, fees or deliverables with you.

I may suspend or terminate services immediately where necessary due to serious or repeated non-payment, unlawful activity, abusive behaviour, a serious breach of these Terms & Conditions, or circumstances that make it unreasonable or impossible for me to continue providing the services.

16. Refunds

Because my services are generally bespoke and may involve work being carried out specifically for an individual client, refunds will be considered in accordance with the terms agreed for the relevant project and applicable consumer or business law.

Where work has already been completed, I may not be able to provide a refund for that work.

Any applicable cancellation rights required by law will not be affected by these Terms & Conditions.

17. Links to other websites

This website may contain links to third-party websites.

These links are provided for convenience or additional information. I do not control or endorse every third-party website and am not responsible for its content, availability, security or privacy practices.

Your use of third-party websites is subject to their own terms and policies.

18. Privacy

Your use of this website is also subject to my Privacy Policy, which explains how I collect, use and protect personal information.

Please refer to the Privacy Policy for further information.

19. Changes to these Terms & Conditions

I may update these Terms & Conditions from time to time to reflect changes to my website, services or legal requirements.

When I make changes, I will update the "Last updated" date at the top of this page.

The version published on this website will apply to your use of the website from the date it is published.

Any terms already agreed with a client under a separate contract, proposal or statement of work will continue to apply to that project unless otherwise agreed.

20. Governing law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes arising in connection with these Terms & Conditions will be subject to the jurisdiction of the courts of England and Wales, unless applicable law provides otherwise.
